- I posted a question and apparently have some responses, but have clicked and clicked and clicked and cannot find my original post or any responses. I also received an email and tried to click on the links and just came in to the welcome page. It must be easier than I'm making it!

I don't think you are correct, Randian. I have contributed to several other discussions re: HRA/Sec 105 plans in regards to >2% shareholders. The company setting up/promoting/administering these plans states that this is allowed and I have, as I've mentioned elsewhere, a document that provides a thorough example of how this works. I'd love to get it to someone (if I knew how, don't know how or if I can attach it here)and get others opinions on this. Anyway, the qualified medical costs are not limited to the three you mentioned.
LJACPA I'm a former small (passive - unfortunately) business owner and as I turned these businesses back over to the previous owners who financed them for me and one of them sold in foreclosure. I discover that our bookkeeper hasn't paid payroll taxes for almost 3 years. I'm ready to face the music, as I currently have some success in current career, but seems that the liability might be shared between the bookkeeper, who has little or no personal assets or income and a CPA who I think should have hit me in the head with a brick 3 years ago. Your thoughts?
You're preaching to the choir
LJA: I agree that it's extremely frustrating that the small practitioner has to keep all the Circ. 230 law in mind, plus the revisions! I get my ethics hours in, try to study it and do my best, and I think that's all any of us can do. The main thing I think we need going forward is for the accounting and legal organizations, like AICPA, ABA, NSA, NATP, the EA's, etc. to really stand up for the smaller practitioners. Were it not for us, many business taxpayers would just throw in the towel, and become non-filers: and that's the real world we live in.
On S. corps & cars

No. corps. cannot use the standard mileage method. Rev. Proc. 64-10. P.S. And I agree with your concern about overstating the books. Can you show ownership of an asset unless you have title and/or a written trust agreement where the employee agrees to hold beneficial title to auto for corp.? Here, I think accounting rules apply. I'm not a CPA, but I do think it would be a problem as far as reporting goes...unless of course this is a managerial function to decide these things?
May not be contradiction
In my humble opinion, the burden is on the preparer of the 1065 to get this right, and report it correctly on the K-1. Once you GET the K-1, you should be able to rely on it. I THINK that's what the IRS person was trying to say. My understanding is that you did not prepare the 1065. NOW, I would warn my client, and document my file, that should there be an audit of the 1065, he needs to be prepared for an adjustment: and that's the facts of life. Me and the LLC
Hi, Lynne: I don't know how it happened, but LLC's have just seemed to walk in my door the past two years. In my area (Atlanta), they seem to be younger people who have formed them themselves on some website. They don't come to me until it's time to do the tax return. Talk about a mess. I posted a question on here a few weeks ago about LLC's and so-called profit interests. You may be able to do a search. Anyway, it showed me that a lot of good tax people are really hazy on them, so I didn't feel too bad. It's not surprising that so many small office lawyers have gotten away from corporate law because there really is more competition that you would believe from the net. The best way to find a decent lawyer in my opinion is to ask another accountant for a referral, if any of them know an lawyer in Asheville for instance, maybe that lawyer could refer you to someone in one of the smaller towns. We had a group of amish gentlement pour a concrete floor for us. Labor costs were $1000. Do we need to do a 1099 form. Why has our tax lady not had us do one for our childcare provider?

Shoot me your email addy and I will send you some information regarding the 105. Honestly, I am more than worried about this election as it seems to be akin to the 'reasonable salary' of the SubS and one of those things that the IRS says "go ahead and elect it, if you got the balls!" :D.
I found a lot of information through google by going down the 105 avenue. I can't find anything about the NASE take on it. That place is like a cult and it is hard to find anything about them.

S Corps and HRA's
I've run into my first S Corp that has an HRA. I've been reading the various discussions along the way, but never had to worry much about it. I have a >2% SH that has $3K in medical expenses that would be covered by an HRA. However, it seems these are not allowed. I noticed your last post in January was still questioning conflicting cites. Stock options
I came across your message from a long time ago that you had info on stock options. I am interested in this if you still have it (or an updated version.)
Any tax planning advise for someone going to exercise ISO and NSO's this year would be helpful as well.
