buy-out/sale of clients in multi-level marketing program

I'm new here and would like to know if anyone has insight to the character of the asset of a buy-out/sale of clients in multi-level marketing program, where the organization buys out (or purchases) the retiring individual cashflow generatedat a set formula?

Is this capital gain or ordinary income?
