Hello, my name is Graham Paul Wellington and I go by the nickname Template:POMCOR. I am a transactional specialist whose expertise centers around the tax ramifications of stock vs. asset acquisitions. Currently, I serve as Vice President and Director of Corporate Acquisitions for LBB Holdings, LLC ("LBB"). LBB acquires "C" corporations selling real property. In instances where a corporation enters into a contract to sell its real property at a sizable taxable gain, LBB purchases the corporate stock at a price substantially greater than the amount the owners of the corporation would otherwise take in if the company paid its capital gains tax and distributed the net proceeds. Under LBB’s ownership the company reinvests for a long-term period via a §1031 Exchange, which brings a value that LBB shares upfront with the former shareholders as a “premium” for their entity.

I cut my teeth in acquisitions over twenty years ago during the last banking crisis; as Manager of Acquisitions and Sales for Citizens Federal Bank. There we acquired more than 160 whole loan portfolios and thrift entities from the RTC as receiver for various S&L's (typically @ $.83-.86) seasoned them, securitized them and then sold them back to FNMA and FHLMC in MBS pools(at par).

For the last two decades I have been working with the same principals who acquired largest asset from the nations largest failed thrift (i.e. the stock of CenTrust Mortgage). Subsequently we acquired various mortgage banking entities including: First Denver Mortgage, Empire of America RCC (from Cargill/Morgens Waterfall/Pru Bache) Foster Mortgage, and the merged entity of Coastal States Savings & Mid-Atlantic Mortgage. Over time moved into stock vs. asset acquisition and sales. About 5 years ago we centered on the concept now employed by LBB and have sucessfully implemented this strategy in various states throught the U.S.
