I have read some of the posts and could not find a definite answer. My reading of reference gives me conflicting information. Please help. Please provide citation if possible. Thank you.

NO!

Start with Sec 1361

The only possible exception would be if both LLC's were SMLLC's that were being treated as diregarded entities.

I googled "LLC SCorp shareholders" and found the above article. Hope it helps you. This article confirms Tin's observation that only SMLLCs would be eligible.

Sorry, I got it reversed. I meant to say 2 s-corps own an LLC, i.e. LLC with two members who are both S corps. That is doable, right? Thank you for your quick response
