edited to suggest a different search in the first bullet point, after I saw your post on the other discussion and realized you'd emphasized "income tax" here, too.

Note; there are probably even better search term combinations to use; I started with the words in your discussion title, and for the second bullet used some of the key words found in the first search, IIRC. Then edited the first search to specifically search for "income tax" as noted. Try some other terms, too; I know there are good discussions on this in the archives. Thx

Now that I have everyone's ire up like our pres, can someone lead me

to an answer? Other than trust fund penalities, is there a shareholder responsible for 1120 liabilities, if you assume no unauthorized transfer of corp assets....please???

exactly. My corp is still in business and has a few a/rs for the irs to slam. But again, does anyone out there know if Irs can reach in the shareholder's pocket, or lien the sh for Corp income tax deficiencies???
